Terms of Service
Effective date: 4 July 2026
These are the terms that govern your use of AgentOS — Lailaichat, AgentHero and the AI Training simulator. They are written in plain language on purpose: you should be able to understand what you're agreeing to without a law degree.
01The agreement
These Terms of Service (“Terms”) are a contract between Pixel AI Studio (Registration No. 202503344894 (CT0158569-A)), a business registered in Malaysia (“we”, “us”, “our”), and the business or person that creates an account or subscribes (“you”, the “Tenant”). By creating an account, subscribing, or using the Service, you accept these Terms. If you accept on behalf of a company, you confirm you have authority to bind that company.
These Terms incorporate our Privacy Policy and Refund Policy. If you do not agree with any part of these Terms, do not use the Service.
02The Service
AgentOS is a software suite for sales teams, made up of:
- Lailaichat — the AI front office: an omnichannel inbox (WhatsApp, Facebook Messenger, Instagram, Telegram and web chat), an AI Closer that chats with your end customers, broadcast campaigns, landing pages and a lead CRM.
- AgentHero — the commission and back office: agent management, orders, commission calculation and payout tracking.
- AI Training simulator — role-play training that lets salespeople practise against simulated customers before facing real ones.
Features vary by plan and evolve over time. We may add, change or retire features, provided changes do not materially reduce the core functionality you paid for during a paid period.
03Accounts and eligibility
- You must provide accurate registration and billing information and keep it up to date.
- You are responsible for safeguarding login credentials and for all activity under your workspace, including activity by team members you invite.
- Seats are for identified individual users; sharing one login between multiple people is not permitted.
- The Service is offered to businesses and business users. You must be at least 18 and able to enter a binding contract.
- Notify us promptly at support@pixelaistudio.com if you suspect unauthorised access to your account.
04Acceptable use
You agree not to use the Service to:
- Send spam, scams, or unlawful, deceptive, defamatory or harassing messages, or messages promoting illegal products or activities.
- Contact people who have not consented to be contacted, or continue messaging people who have opted out.
- Upload or process content that infringes others' rights, contains malware, or that you have no right to use.
- Probe, overload, scrape, reverse-engineer or interfere with the Service, bypass usage limits, or resell access without a written agreement with us.
- Misrepresent AI-generated communications in a way prohibited by applicable law.
We may suspend or restrict accounts that put the platform, other Tenants, our channel integrations or recipients at risk. Where practical, we will warn you first.
05Subscriptions and billing
- Plans and prices. Subscriptions are billed monthly or annually, in advance, through our payment provider Stripe. Prices are shown in Malaysian Ringgit (MYR) on our pricing page and at checkout.
- Taxes. Prices are exclusive of applicable taxes. Where Malaysian Sales and Service Tax (SST) or other taxes apply, they are added at the rate in force and shown on your invoice.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You can cancel at any time; access continues until the end of the paid period (see the Refund Policy for details).
- Price changes. We may change prices with at least 30 days' notice; changes take effect from your next renewal, never mid-period.
- Failed payments. If a renewal payment fails, we will retry and notify you. Continued non-payment may lead to suspension and, after the grace period described in our Privacy Policy, deletion of workspace data.
06Credits
AI-powered actions in the Service (for example an AI Closer reply or a simulator session) consume credits. Credits work like this:
- Plans include a credit allowance; additional credit packs (top-ups) can be purchased at any time through Stripe.
- Each AI action consumes credits at the rate shown in the Service at the time of the action.
- Consumed credits are non-refundable. Once an AI action has run, the credits it used cannot be returned, regardless of whether you were satisfied with the AI output.
- Credits have no cash value, cannot be exchanged for money, and are not transferable between workspaces.
- Unused credits lapse when your subscription ends, unless stated otherwise at the time of purchase.
07Your responsibilities as a Tenant
You use the Service to communicate with your customers, so the legal responsibility for those communications sits with you. You agree to:
- Message lawfully. Comply with all laws applying to your messaging and marketing, including Malaysia's Personal Data Protection Act 2010 and the Communications and Multimedia Act 1998, and equivalent laws where your recipients are located.
- Get consent. Obtain and be able to demonstrate the required consent before contacting your customers through the Service, and honour opt-outs promptly.
- Follow platform policies. Your use of connected channels must comply with the applicable platform terms — including the WhatsApp Business terms and Meta's commerce and messaging policies for WhatsApp, Facebook and Instagram, and Telegram's terms. Platform violations can result in the platform restricting your number or account, which is outside our control.
- Supervise AI output. Configure and monitor the AI Closer responsibly. You are responsible for the accuracy of the business information you give it and for the commitments made in conversations it holds on your behalf.
- Act as data controller. For your end-customer data, you are the data user (controller) under the PDPA — provide your own privacy notice to your customers and handle their access and correction requests (we provide the tools).
08Third-party platforms and services
The Service depends on third parties we do not control — including Meta/WhatsApp APIs, Telegram, Stripe, cloud infrastructure and AI model providers. Their availability, pricing, rate limits and policies can change without notice. We will work to adapt the Service when they change, but we are not liable for interruptions, message delivery failures, account restrictions or feature loss caused by a third-party platform. Fees charged directly by platforms (for example WhatsApp conversation charges billed by Meta, where applicable) are your responsibility unless your plan states otherwise.
09Your data
- You retain all rights to the data you and your customers put into the Service — conversations, leads, orders, commission records and uploaded content.
- You grant us the limited licence needed to host, process, transmit, back up and display that data solely to provide and support the Service.
- We do not sell your data and do not train AI models on your business data (see the Privacy Policy).
- You are responsible for the legality of the data you upload and for having the right to process it.
- On termination, you may export your data during the grace period described in the Privacy Policy, after which it is deleted.
10Intellectual property
The Service — its software, design, branding, and everything in it except your data — is owned by Pixel AI Studio or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service for your internal business during the subscription period. You may not copy, modify, distribute or create derivative works of the Service. Feedback you send us may be used to improve the Service without obligation. “AgentOS”, “Lailaichat” and “AgentHero” and their logos are marks of Pixel AI Studio; no rights in them are granted by these Terms.
11Availability and support
We aim to keep the Service available around the clock and use commercially reasonable efforts to maintain uptime — but we do not guarantee a specific uptime percentage, and the Service is provided without a contractual SLA unless one is separately agreed in writing. Planned maintenance is scheduled to minimise disruption where practical. Support is provided in English and Bahasa Malaysia via support@pixelaistudio.com during Malaysian business hours.
12Disclaimers
Except as expressly stated in these Terms, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, to the fullest extent permitted by Malaysian law. In particular:
- AI-generated content can be inaccurate or incomplete. The AI Closer and simulator are assistive tools — review important communications and do not treat AI output as professional, legal or financial advice.
- We do not warrant that the Service will be uninterrupted, error-free or that it will achieve any particular sales results or revenue outcomes.
- We are not a party to the transactions between you and your customers.
13Limitation of liability
To the maximum extent permitted by Malaysian law:
- Neither party is liable for indirect, incidental, special or consequential loss, loss of profits, revenue, goodwill or data arising from the Service.
- Our total aggregate liability arising out of or relating to the Service is capped at the fees you paid us in the 12 months before the event giving rise to the claim.
- Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud.
- You will indemnify us against third-party claims arising from your content, your messaging practices, or your breach of Section 7 (Tenant responsibilities).
14Suspension and termination
- You may cancel your subscription at any time from your workspace or by emailing support; access runs to the end of the paid period.
- We may suspend the Service for non-payment, security risk, or material breach of these Terms (including the acceptable-use rules and platform-policy obligations), with notice where practical.
- We may terminate for material breach that remains uncured 14 days after written notice, or immediately for serious abuse or unlawful use.
- On termination, your right to use the Service ends; data handling follows the retention terms in the Privacy Policy. Sections that by nature survive (IP, liability, governing law) survive termination.
15Changes to these Terms
We may update these Terms as the Service and the law evolve. For material changes we will give at least 14 days' notice through the Service or by email. Changes apply from the stated effective date; continued use after that date means you accept the updated Terms. If you do not accept a change, you may cancel before it takes effect.
16Governing law and about Pixel AI Studio
These Terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over disputes arising from them — after the parties have first attempted in good faith to resolve the dispute amicably.
